Referral Rewards Program

1. Program Overview

The ChemVantage Referral Rewards Program ("Program") is designed to encourage current users and supporters to refer educational institutions to ChemVantage, an affordable high-quality LTI homework, quiz, and assignment application for General Chemistry.

By participating in this Program, you ("Referrer") agree to be bound by these Terms and Conditions, as well as ChemVantage's general Terms and Conditions of Use and Privacy Policy.

2. Eligibility

To participate in the Program, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have a valid email address
• Be legally capable of entering into binding agreements
• Not be an employee, contractor, or immediate family member of an employee or contractor of ChemVantage LLC
• Comply with all applicable laws and regulations

ChemVantage LLC reserves the right to verify eligibility and disqualify any participant at its sole discretion.

3. How the Program Works

3.1 Referral Process

Referrers will receive a unique referral link in the format: https://www.chemvantage.org/rewards/[unique-code]

This link must be shared with prospective institutions. When a representative from an educational institution follows your referral link and completes the activation process, the referral is recorded.

3.2 Qualifying Activation

A "Qualifying Activation" occurs when:

• An educational institution that is not currently a ChemVantage client uses your referral link
• The institution completes the account activation process, including email verification
• ChemVantage LLC verifies the institution as legitimate and in good standing
• The institution activates ChemVantage for use within their Learning Management System (LMS)

4. Rewards

4.1 Referrer Reward

Upon a Qualifying Activation, the first Referrer whose link was used will receive:

• One (1) $50 USD Amazon.com gift card

4.2 Referred Institution Reward

The newly activated institution will receive:

• ChemVantage service free of charge to the institution
• All students from the institution receive a one-semester free trial subscription (regular price: $8 USD per student per semester)

4.3 Self-Referral

If your institution is not currently a ChemVantage client, you may use your own referral link to activate your institution. In this case, you qualify for both:

• The $50 Amazon gift card (as Referrer)
• Free institutional access and student trial subscriptions (as referred institution)

4.4 Limitations

• One reward per activation: Only the first Referrer whose link leads to a Qualifying Activation will receive the reward
• One reward per institution: Each educational institution may only be referred once under this Program
• Maximum rewards per Referrer: No limit on the number of successful referrals per Referrer, provided each is for a different qualifying institution

5. Reward Fulfillment

5.1 Verification Period

ChemVantage LLC will verify Qualifying Activations within 30 business days of the activation date. During this period, we will:

• Confirm the institution's identity and eligibility
• Verify email addresses and contact information
• Ensure compliance with these Terms and Conditions

5.2 Reward Delivery

Upon successful verification:

• Amazon gift cards will be delivered via email to the address associated with the Referrer's account
• Gift cards will be sent within 60 days of verification
• Institutional benefits will be activated immediately upon verification
• Student trial subscriptions will be available for the current or next academic semester

5.3 Contact Requirements

Referrers must maintain a valid email address on file. ChemVantage LLC is not responsible for rewards that cannot be delivered due to incorrect, outdated, or invalid contact information.

6. Program Duration and Expiration

This Program is effective from January 1, 2026, through September 30, 2026, at 11:59 PM Pacific Time.

• Referral links must be used by institutions before the expiration date
• Activations completed after September 30, 2026, are not eligible for rewards
• ChemVantage LLC reserves the right to extend, modify, or terminate the Program at any time with or without notice

7. Prohibited Conduct

Participants may not:

• Use fraudulent, misleading, or deceptive practices to generate referrals
• Create fake accounts or institutions to claim rewards
• Spam, mass email, or engage in unsolicited commercial email practices
• Use automated systems, bots, or scripts to generate referrals
• Misrepresent their relationship with ChemVantage LLC
• Make false claims about ChemVantage services, pricing, or features
• Violate any applicable laws, regulations, or third-party rights
• Purchase advertising using ChemVantage trademarks without prior written consent

ChemVantage LLC reserves the right to investigate suspicious activity and disqualify participants who violate these Terms.

8. Disqualification and Termination

ChemVantage LLC may, at its sole discretion:

• Disqualify any participant for violation of these Terms and Conditions
• Suspend or terminate participation in the Program
• Withhold or revoke rewards if fraud or abuse is suspected or confirmed
• Terminate the Program at any time

Decisions regarding disqualification are final and not subject to appeal.

9. Privacy and Data Usage

By participating in the Program, you acknowledge that:

• ChemVantage LLC will collect and process your personal information (name, email address, referral activity) in accordance with our Privacy Policy
• Referral codes are tracked and stored to determine reward eligibility
• Your information may be shared with third parties (e.g., Amazon) solely for the purpose of reward fulfillment
• You consent to receiving email communications regarding your referrals and rewards

10. Tax Responsibility

Referrers are solely responsible for any and all taxes associated with rewards received. ChemVantage LLC may be required to report reward values to tax authorities as required by law. You may be required to provide tax identification information to receive rewards exceeding certain thresholds.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ChemVantage LLC is not liable for any technical failures, errors, or delays in processing referrals or delivering rewards
• ChemVantage LLC is not responsible for lost, delayed, or undeliverable rewards due to incorrect contact information
• ChemVantage LLC is not liable for any indirect, incidental, consequential, or punitive damages arising from participation in the Program
• The total liability of ChemVantage LLC to any participant shall not exceed the value of the reward for which that participant qualified

12. No Warranty

THE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. ChemVantage LLC makes no representations or warranties regarding:

• The availability, functionality, or uninterrupted operation of the referral system
• The accuracy of referral tracking
• The timing or method of reward delivery

All rewards are non-refundable and have no cash value except as stated by the reward provider (e.g., Amazon).

13. Modifications to Terms

ChemVantage LLC reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to this page. The "Last Updated" date at the top of this document indicates when changes were last made. Continued participation after changes constitutes acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

These Terms and Conditions and any disputes arising from the Program shall be governed by the laws of the State of Utah, United States, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration in Utah County, Utah, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits or class-wide arbitration.

15. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
